Terms and conditions of sale

  1. Purpose and scope

    These Terms and Conditions of Sale apply to all services offered by Skerpio, a self-employed business registered under SIRET 899 867 568 00037, hereinafter "the Provider", to its professional clients, hereinafter "the Client".

    Any order implies unreserved acceptance of these Terms and Conditions of Sale, which prevail over any other Client document.

  2. Services offered

    The Provider offers custom website design and creation services. The services are defined in the quote or specific contract established with the Client.

  3. Quote and order

    Any quote issued by the Provider is valid for 30 days from its date of issue. After this period, a new quote must be issued.

    The order becomes final only after the Client accepts the quote. Acceptance is made by sending an email to the Provider with the words "Bon pour accord". Any later change to the order will be covered by an amendment to the initial quote.

  4. Prices and payment terms

    Prices are quoted in euros, excluding tax. The Provider benefits from the VAT exemption scheme (article 293-B of the French General Tax Code), so no VAT is charged. Prices are firm and cannot be revised during the performance of the service.

    A deposit of 30% of the total amount excluding tax is required when the Client accepts the quote. Work starts only upon receipt of the deposit. The remaining 70% is due on delivery of the service.

    Invoices are paid by bank transfer within 30 days of the invoice date, unless otherwise agreed.

    In case of late payment, in accordance with article L.441-6 of the French Commercial Code, the Client is liable for the following penalties: late payment interest calculated at three times the legal interest rate in force; a fixed recovery fee of 40 EUR.

  5. Delivery times

    Delivery times are given as an indication in the quote. Any delay in the Client providing the required elements postpones the delivery date proportionally.

  6. Client obligations

    The Client agrees to provide all necessary elements, to appoint a single contact person with decision-making power, to collaborate actively with the Provider and to respond to validation requests within the agreed timeframes.

  7. Independence of the Provider

    The Provider performs the services in full independence and autonomy. The Provider is not bound to the Client by any employment contract, subordination relationship or corporate mandate.

  8. Intellectual property

    Ownership of the deliverables is transferred to the Client only after full payment of the corresponding invoice. The Client acquires the rights to use the deliverables in the course of the normal operation of its business.

  9. Confidentiality

    The Provider agrees to keep confidential the information communicated in the course of the assignment. This obligation survives the end of the contractual relationship.

  10. Termination and cancellation

    If the Client terminates the contract, the Client agrees to pay for all work already completed plus an indemnity of 30% of the remaining amount. The Provider may terminate the contract if the Client fails to meet its obligations, if an invoice remains unpaid 15 days after a formal notice, or in case of force majeure.

  11. Warranties and liability

    Any non-conformity must be reported within 15 days of delivery. The Provider's liability is limited to the amount of the service that caused the damage, excluding any indirect damage. Any legal action is time-barred one year after delivery.

  12. Force majeure

    The Provider cannot be held responsible for non-performance of the contract in case of force majeure, including strike, epidemic, fire, computer failure, telecommunications interruption, etc.

  13. Personal data protection

    Under the GDPR, the Client has a right of access, rectification and deletion of its data. These rights can be exercised by email at: freelance@skerpio.com.

  14. Applicable law and jurisdiction

    These Terms and Conditions of Sale are governed by French law. In case of dispute, and after an attempt at amicable settlement, exclusive jurisdiction is given to the courts of the district of the Provider's registered office.
